On February 15, 2006, ONEOK, Inc. and Northern Border Partners, L.P. announced proposed transactions that if each is completed as contemplated would result in the following changes:

• ONEOK, Inc. will own all the general partnership interest in Northern Border Partners, L.P. and 43.7 % interest in the limited partnership interest in Northern Border Partners, L.P.
• Certain energy affiliates of the Transportation Provider shown as owned directly by ONEOK, Inc. will be owned by Northern Border Partners, L.P.
